Marie-Claire is Partner in Ogier's BVI law in Europe team, based in Jersey. She specialises in BVI corporate, investment funds and regulatory matters. Prior to moving to Jersey in 2017, Marie-Claire spent 10 years based in the BVI.
Marie-Claire is one of the leading BVI funds and regulatory lawyers and frequently advises investment managers, funds, HNWs, trust companies and financial services providers on BVI legal and regulatory matters. In particular, she advises on change of control and other regulatory applications to the BVI Financial Services Commission, BVI AML laws and matters relating to developments in the BVI's regulatory regime. Marie-Claire also advises on economic substance.
Her funds practice covers all aspects of BVI funds formation including hedge funds, real estate investments, private equity funds, co-investment structures and single investment structures. She regularly helps start-up managers with the establishment of incubator and approved fund structures and BVI approved managers. Marie-Claire also has significant experience advising BVI funds and other regulated entities on their ongoing legal and regulatory compliance, including helping regulated entities to rectify breaches of compliance and regularise their status with the BVI Financial Services Commission, and advising on the liquidation and dissolution of funds and other investment structures.
This complements a specialism in BVI corporate transactions, with a particular focus on cross border mergers and acquisitions, corporate advisory, IPOs, voluntary liquidations, continuations in and out of the BVI and corporate restructuring, having advised on many complex, high profile transactions since first joining the Ogier team in 2008.
Marie-Claire is a key part of Ogier's multi-disciplinary Private Equity team. She specialises in BVI downstream corporate advisory, advising on both the acquisition and exit phases of downstream PE advisory.
